Successor Clause: In the event activities are assigned or transferred to another entity, all rights and obligations under these Terms shall automatically transfer to such successor entity without further action by either party.
1. Scope & Precedence
These Terms govern all thr∴ve™ websites, apps, products, and services, including thrveos.com, thrveconnect.live, Crafted.With.Melanin™, SIG∴NALS™, Tap OS™, and Ask A PM™.
- Product-specific Terms or signed contracts take precedence.
- Where no specific Terms exist, this Universal T&C applies.
2. Intellectual Property
All thr∴ve™ frameworks, methods, code, names, and designs (including IDI™, Clarity Response™, Ritual Response Grid™, SIG∴NALS™, Tap OS™, and Crafted.With.Melanin™) are proprietary.
- Use does not grant ownership.
- Unauthorized use, reproduction, or distribution is prohibited.
- Public institutions may request educational licenses, subject to alternative Terms.
3. User Accounts & Anonymous Use
- Account-required services: Users must keep credentials secure; thr∴ve™ is not responsible for breaches caused by user negligence.
- Anonymous services: NFC/tap interactions may collect anonymized analytics (device type, browser, location approximation, tap frequency).
4. Payments, Refunds & Returns
- Consulting/Services: Non-refundable once sessions or deliverables begin.
- Digital Products: Non-refundable once delivered.
- Physical Products (Crafted.With.Melanin™, SIG∴NALS™, FLOW kits, etc.):
- Returns accepted within 14 days if unused/damaged in transit.
- Custom/personalized items non-refundable unless defective.
- Buyer pays return shipping unless defective.
5. Data Privacy
Data collected includes: event logs (check-ins/taps), voluntary submissions (uploads, guestbook notes), and performance analytics (device, browser, location).
- Data is never sold.
- Shared only with service providers (e.g., Supabase, Netlify, Stripe) under agreements.
- Users may request deletion of personal data.
6. Security
thr∴ve™ takes reasonable steps to secure systems but cannot guarantee absolute security. Users are responsible for their own account/device security. thr∴ve™ is not liable for third-party breaches. In the event of a data breach, notice will be given as required by U.S. law; liability capped to the amount paid in the prior 12 months.
7. Core Values & Acceptable Use
thr∴ve™’s products and services are rooted in the following Core Values:
- Clarity over manipulation – Tools should support truth, not distortion.
- Sovereignty of the individual – Users’ voices, rights, and data autonomy must be respected.
- Protection of vulnerable groups – Youth, elders, and marginalized communities must not be put at risk.
- Ethical data use – Data must remain anonymized, limited, and never weaponized or sold.
- Non-exploitation – Products must not be used for harassment, discrimination, surveillance, or extractive purposes.
- Respect for origin and authorship – thr∴ve™’s frameworks, methods, and brands cannot be copied, co-opted, or misrepresented.
By using our services, you agree not to engage in conduct inconsistent with these values. Violations are a material breach; thr∴ve™ may suspend access and seek legal remedies including damages.
8. Consulting & Professional Services
- Advisory services are for guidance only; no guarantee of outcomes.
- All frameworks and materials remain thr∴ve™’s IP; clients receive limited internal-use licenses.
- Signed consulting contracts override this section.
9. Liability Cap
Liability is limited to the total amount paid for the product or service giving rise to the claim.
10. Indemnification
Users agree to indemnify and hold harmless thr∴ve™ from claims, damages, or expenses arising from their use of thr∴ve™ services, including uploaded or shared content.
11. Termination
thr∴ve™ may suspend or terminate services for unlawful, harmful, or values-inconsistent use.
12. Governing Law & Disputes
These Terms are governed by the laws of the State of Texas, USA. Disputes shall be resolved exclusively in Texas state or federal courts. We may seek injunctive relief for IP or values violations.
13. Force Majeure
We are not liable for delays or damages caused by events outside our control, including cyberattacks, outages, or natural disasters.
14. Updates to Terms
thr∴ve™ may modify these Terms at any time by posting an updated version. Continued use constitutes acceptance.
